Terms & Conditions and User Agreement

Operated by Ajabpa Digital Innovations Ltd (RC 9546070), a limited liability company incorporated in Nigeria ("GoChop", "the Company", "we", "us").

Please read these Terms carefully. By downloading, accessing or using the GoChop application, website or services (together, the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. What GoChop is (and is not)

GoChop is a technology platform and online marketplace. Our only role is to build, host and maintain software that lets independent food vendors ("Vendors") advertise their storefront pages and menus to people who choose to buy from them ("Customers"), and to connect those orders with independent delivery riders.

  • GoChop is not the seller, producer, cook, packager or supplier of any food or goods.
  • GoChop is not a fulfilment centre and holds no stock or inventory.
  • GoChop is not a party to the sale contract, which is formed directly between the Customer and the Vendor.
  • GoChop does not employ Vendors or riders; they are independent businesses acting on their own account.
GoChop provides the advertising and technology "pipe" only. Responsibility for the food, its safety and the transaction rests with the Vendor and the Customer, as set out below.

2. Definitions

  • Vendor — any independent kitchen, restaurant or food business that subscribes to advertise on the Platform.
  • Customer — any person who uses the Platform to browse Vendors or place orders.
  • Rider — an independent delivery partner who may deliver an order.
  • Subscription — the fee a Vendor pays to publish and advertise their storefront on the Platform.
  • Escrow — the temporary holding of a Customer's payment before it is released to the Vendor.

3. Vendor Terms — Vendor Responsibilities

By subscribing and listing on the Platform, the Vendor represents, warrants and agrees that:

  • The Vendor is a lawfully operating, independent business and holds all licences, permits and registrations required to prepare and sell food (including any applicable health, food-safety and NAFDAC requirements).
  • The Vendor is solely and fully responsible for the food it sells — including its quality, freshness, safety, hygiene, preparation, packaging, weight, ingredients, allergen information, pricing and accurate description.
  • The Vendor is solely liable for any illness, injury, allergic reaction, loss or damage caused by, or arising from, its food, packaging, staff or conduct.
  • All information the Vendor uploads (menu, photos, prices, hours, location) is true, accurate and its own, and does not infringe anyone's rights.
  • The Vendor will provide accurate KYC and payout (bank) details, keep them current, and is responsible for its own taxes and levies.
  • A valid Subscription is required to publish a storefront and menu. Subscription fees are for advertising and platform access and are non-refundable except where required by law.
  • The Vendor will fulfil accepted orders promptly and honestly, and will handle its own refunds, replacements and complaints in good faith.
  • The Vendor indemnifies and holds GoChop harmless (see Section 8).

4. Customer Terms — Customer Responsibilities

  • When you place an order, you are buying directly from the Vendor, not from GoChop. Your contract for the food is with the Vendor.
  • You are responsible for giving a correct delivery address and contact details, and for being available to receive the order.
  • You are responsible for checking ingredients and allergens with the Vendor before ordering if you have any dietary or health condition.
  • You agree to pay the price shown and any delivery fee, and to use the Platform lawfully and honestly.
  • Any complaint about food or an order should be raised with the Vendor (and, where relevant, through the in-app dispute process in Section 7).

5. Delivery

Delivery may be carried out by independent riders or by the Vendor. Riders are not employees or agents of GoChop. GoChop is not responsible for delays, conduct, accidents or loss arising during delivery; responsibility lies with the Vendor and/or the independent rider handling the order.

6. Payments, Subscriptions & Escrow

  • Payments are processed by third-party payment providers (e.g. Paystack). GoChop does not store card details.
  • GoChop does not take a commission on food sales — Vendors keep the full price of their food. GoChop earns from Vendor Subscriptions and clearly stated service or delivery fees.
  • Escrow: when a Customer pays, the funds are held in escrow and are not released to the Vendor at the moment of payment. For delivery orders, funds are released to the Vendor once the rider collects the order from the kitchen; for pickup orders, once the Customer collects and confirms. If an order is cancelled or rejected before release, the Customer is refunded from escrow.

7. Refunds & Disputes

  • Orders that are cancelled or rejected before the Vendor is paid are refunded to the Customer from escrow.
  • A Customer may raise a dispute on an order, which freezes the escrow for that order.
  • GoChop's support team may review the available evidence (order details, in-app chat, timestamps) and facilitate a resolution — either releasing funds to the Vendor or refunding the Customer. GoChop acts only as a neutral facilitator and is not liable for the underlying goods or the outcome of any Vendor–Customer dispute.
  • Once the Vendor has been paid and the order delivered/collected, refunds are a matter between the Customer and the Vendor.

8. Limitation of Liability

Ajabpa Digital Innovations Ltd is a limited liability company. To the maximum extent permitted by law:

  • The Platform is provided "as is" and "as available", without warranties of any kind regarding Vendors, food, or third-party services.
  • GoChop is not liable for any loss, damage, illness, injury, death, cost or claim arising out of or connected with the food, its preparation or delivery, a Vendor's or rider's acts or omissions, or any transaction between a Customer and a Vendor. That responsibility lies with the Vendor and/or rider.
  • GoChop is not liable for indirect, incidental, special or consequential losses, or loss of profit, data or goodwill.
  • Where GoChop is nonetheless found liable, its total aggregate liability to any Vendor or Customer is limited to the amount of Subscription or service fees that party paid to GoChop in the three (3) months before the event giving rise to the claim.

Nothing in these Terms excludes any liability that cannot lawfully be excluded under applicable Nigerian law (including the Federal Competition and Consumer Protection Act).

9. Indemnity

Each Vendor and Customer agrees to indemnify, defend and hold harmless GoChop, Ajabpa Digital Innovations Ltd and its directors, staff and partners from and against any claims, damages, losses, liabilities and expenses (including legal fees) arising from their use of the Platform, their breach of these Terms, or — in the case of a Vendor — from their food, listings or conduct.

10. Acceptable Use

Users must not use the Platform to: post false, illegal, unsafe or misleading listings; sell prohibited items; infringe others' rights; defraud, harass or abuse others; or interfere with the Platform's security or operation. GoChop may suspend or remove any account or listing that breaches these Terms.

11. Intellectual Property

The GoChop name, logo, app and software are owned by Ajabpa Digital Innovations Ltd. Vendors retain ownership of their own content but grant GoChop a licence to display and advertise it on the Platform.

12. Data Protection & Privacy

We process personal data in line with our Privacy Policy and applicable Nigerian data-protection law (including the Nigeria Data Protection Act / NDPR). See our Privacy Policy.

13. Suspension & Termination

GoChop may suspend, restrict or terminate access to the Platform (including a Vendor's listing) at its discretion where these Terms are breached or where necessary to protect users or the Platform.

14. Changes to these Terms

We may update these Terms from time to time. The current version will always be available on our website, and continued use of the Platform after changes means you accept the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute will first be addressed in good faith between the parties, and, failing resolution, submitted to the courts of Nigeria.
