Between Ajabpa Digital Innovations Ltd (RC 9546070) trading as GoChop ("the Company") and the Vendor identified at sign-up ("the Vendor").
Effective from the date the Vendor accepts these terms in the app.
This Agreement sets out the terms on which the Vendor subscribes to advertise its storefront on the GoChop Platform. It works together with, and is subject to, the GoChop Terms & Conditions and Privacy Policy. By subscribing, the Vendor accepts this Agreement.
1. What the subscription provides
A paid Subscription grants the Vendor a licence to publish and advertise its storefront page and menu to Customers on the Platform for the paid period.
GoChop's role is limited to providing and maintaining the advertising technology. GoChop is not the seller of the Vendor's food and is not a party to any sale between the Vendor and a Customer.
Without an active Subscription, the Vendor's menu is hidden and cannot receive orders.
2. Fees, billing & renewal
The Vendor agrees to pay the Subscription fee shown in the app for the plan it selects.
Subscriptions run for the stated period and may renew as described at purchase (manually, or automatically if the Vendor enables auto-renew). The Vendor is responsible for staying visible.
Subscription fees are for advertising and platform access and are non-refundable, except where a refund is required by law.
3. No commission on food · payouts · escrow
GoChop does not take a commission on the Vendor's food sales — the Vendor keeps the full price of its food.
Customer payments are held in escrow and released to the Vendor's in-app wallet once the order is picked up by a rider (delivery) or collected and confirmed by the Customer (pickup), as described in the Terms & Conditions.
The Vendor must provide and maintain accurate bank/payout details. GoChop is not responsible for delays or losses caused by incorrect details supplied by the Vendor.
4. Vendor obligations & responsibility
The Vendor confirms and agrees that it is solely and fully responsible for its business and its food, and in particular that it:
holds all licences, permits and food-safety/health registrations required by law;
is responsible for the quality, freshness, safety, hygiene, preparation, packaging, weight, ingredients, allergen information, pricing and accurate description of everything it sells;
is solely liable for any illness, injury, allergic reaction, loss or damage arising from its food, packaging, staff or conduct;
publishes only true, accurate listings that it owns and that infringe no one's rights;
fulfils accepted orders promptly and handles its own complaints, replacements and refunds in good faith;
is responsible for its own taxes, levies and business compliance.
The Vendor is an independent business, not an employee, partner or agent of GoChop. Nothing in this Agreement creates an employment, agency or partnership relationship.
5. Suspension & termination
Either party may end this Agreement; the Vendor may stop by cancelling/not renewing its Subscription.
GoChop may suspend or remove a Vendor's listing or account immediately for breach of this Agreement or the Terms & Conditions, unsafe or unlawful conduct, fraud, or to protect users or the Platform. No refund of Subscription fees is due on such suspension or termination.
6. Liability & indemnity
GoChop is a limited liability company and provides the Platform "as is". To the maximum extent permitted by law, GoChop is not liable for any loss, damage, illness, injury or claim arising from the Vendor's food, listings, delivery or conduct, or from any Vendor–Customer transaction.
GoChop's total liability to the Vendor (if any) is limited to the Subscription fees the Vendor paid in the three (3) months before the event giving rise to the claim.
The Vendor indemnifies and holds GoChop harmless from any claim, loss, damage or cost (including legal fees) arising from its food, its listings, its breach of this Agreement, or its use of the Platform.
Nothing here excludes liability that cannot lawfully be excluded under Nigerian law.
7. General
GoChop may update this Agreement; the current version is available on our website and continued use means acceptance.
This Agreement is governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the courts of Nigeria.
8. Acceptance
By tapping "I agree" and subscribing in the GoChop Vendor app, the Vendor confirms it has read, understood and accepted this Agreement, the Terms & Conditions and the Privacy Policy.
